Third-Party Services and Integrations Terms

1. Purpose and Scope
These Terms govern the allocation of responsibility when the Wowmotive Services integrate with, link to, or facilitate access to independent third-party products or services (“Third-Party Services”).
2. Independent Providers
Each Third-Party Service is provided by an independent third party. Wowmotive is not the owner, operator, licensor, guarantor or insurer of any Third-Party Service.
3. No Warranty for Independent Third-Party Services
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOWMOTIVE HAS NO LIABILITY WHATSOEVER FOR THE AVAILABILITY, ACCURACY, COMPLETENESS, SECURITY, LEGALITY, OR CONTINUED OPERATION OF ANY THIRD-PARTY SERVICE.
4. Third-Party Changes and Failures
Third-Party Services may change, suspend, or discontinue at any time. Such events never constitute a breach of any Wowmotive commitment.
5. Customer Responsibility
Customer is solely responsible for selecting and using Third-Party Services lawfully, maintaining its own accounts and credentials, complying with third-party terms, and independently evaluating third-party outputs before relying on them.
6. Wowmotive-Controlled Integration Layer
Wowmotive remains responsible only for the portions of an integration within its direct and reasonable control.
7. Data and Privacy
Where a third-party provider processes Personal Data on Wowmotive’s behalf, it is handled as a Subprocessor under the DPA.
8. GPS and Connectivity
GPS, device, cellular and mapping data may be delayed, incomplete, inaccurate or unavailable. Wowmotive does not guarantee signal availability, device operation, road coverage, or route legality, and has no liability for any of the foregoing.
9. No Regulatory Status by Integration
An integration with a regulated service does not by itself make Wowmotive the operator, provider, distributor or licensee of that regulated activity.
10. Third-Party Terms
Customer is responsible for satisfying any additional technical or contractual requirements imposed by a third-party provider.
11. Suspension of Integrations
Wowmotive may disable, suspend, replace or limit an integration at any time, in its sole discretion, without liability.
12. Precedence
For Personal Data processing, the DPA controls. For general legal terms, the MSA controls. For product-specific matters, Product Terms control. For service levels, the SLA controls.
13. No Customer Representation of Endorsement
Customer must not represent that Wowmotive endorses, guarantees, certifies or takes responsibility for an independent Third-Party Service.
14. Effective Incorporation
These Terms become binding when incorporated into an executed Order Form or other written agreement.
15. Changes
Wowmotive may modify, update, or replace this document at any time, at its sole discretion and without prior notice, effective immediately upon posting the updated version. Where a change is legally required to be separately notified, Wowmotive will provide the notice required by Applicable Law.
