UAE Regional Addendum

UAE B2B Customers.
1. Scope
This Addendum applies where the Customer is established in the UAE or the applicable Order Form expressly incorporates it.
2. Mandatory UAE Law
The parties will comply with mandatory UAE law applicable to the Services and relationship. Nothing in the Agreement is intended to exclude mandatory law that cannot legally be excluded.
3. Data Protection
Where the UAE PDPL applies, the DPA governs Controller/Processor roles, security, Data Subject assistance, Personal Data Breaches, Subprocessors, retention/deletion and international transfers.
4. Cross-Border Processing
Wowmotive may process UAE Personal Data outside the UAE where permitted by Applicable Law and in accordance with the DPA. No blanket adequacy representation is made.
4A. Cross-Border Access Including Remote Personnel and Contractors
Where Personal Data is accessed from outside the UAE, including by authorised Wowmotive personnel located in the United States or by the independent third-party contracted development team based in Pakistan (a Subprocessor, and not Wowmotive personnel), the access will be treated as cross-border processing and handled in accordance with the DPA and Applicable Law. The Pakistan-based contractor is engaged under Wowmotive’s standard vendor confidentiality and security terms appropriate to its role.
5. Driver and Location Monitoring
Customer is solely responsible for any employment, labour, workplace-monitoring or transportation-law requirements applicable to the Customer’s workforce and operations, and for the lawful basis and required notices for driver, workforce, GPS/location and operational monitoring it configures. Wowmotive provides software tools only and does not itself employ, supervise, or operate Customer drivers or vehicles, and has no liability for Customer’s monitoring or workforce decisions.
6. Electronic Contracting
The parties may use valid electronic signatures and authenticated electronic acceptance.
7. Taxes
VAT and other tax treatment will follow Applicable Law and transaction facts. Where reverse charge applies and its statutory conditions are satisfied, the UAE Customer will account for VAT as required by law.
8. No Regulatory Status Representation
Wowmotive does not represent that its SaaS platform or any integrated third-party service is approved, certified, licensed or registered by a UAE authority unless a current written certificate or registration is expressly identified.
9. Precedence
This Addendum controls over the MSA only to the extent of expressly stated UAE regional requirements. The DPA controls Personal Data processing; the Security Addendum controls security; the Order Form controls commercial terms; mandatory law prevails over inconsistent contractual language.
10. Incorporation
This Addendum becomes binding when incorporated into an executed Order Form or other written agreement.
